Terms of Service

1. Agreement to Terms
By accessing or using Makrly ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service. These Terms apply to all visitors, users, and others who access or use the Service, including those who interact with our embeddable widgets.
2. Description of Service
Makrly is a software service that helps developers and teams generate social media content from GitHub commits. The Service uses artificial intelligence to transform commit messages and code changes into engaging posts for platforms like X (Twitter), LinkedIn, Threads, Bluesky, Facebook, and other social networks.
The Service also includes:
- Changelog Management: Create and publish changelogs from your commits, with an embeddable widget for your website
- Help Center & FAQ: Build a knowledge base from your documentation and offer searchable FAQ articles through the widget
- Ideas & Roadmap: Collect user feedback, manage feature ideas, and share a public roadmap with voting and comments
- Social Media Graphics: Create code snippets, browser mockups, and image graphics for social media posts
- Developer API: Programmatic access to your changelog and settings via scoped API keys
- Contact Inbox: Receive messages from your widget visitors in a unified inbox
3. Account Registration
To use the Service, you must:
- Create an account by authenticating with GitHub
- Provide accurate and complete information
- Maintain the security of your account credentials
- Be at least 13 years of age (or 16 in the EU/EEA)
You are responsible for all activities that occur under your account, including any content generated, published, or submitted through your connected repositories and widgets. You must notify us immediately of any unauthorized use of your account.
4. Subscription and Payments
4.1 Free Trial
We offer a 7-day free trial for new users. No credit card is required to start the trial. At the end of the trial, you will need to subscribe to continue using paid features. Each user is entitled to one free trial.
4.2 Paid Subscriptions
Paid subscriptions are billed in advance on a monthly or annual basis through Stripe. The subscription automatically renews unless cancelled before the renewal date. You can upgrade, downgrade, or cancel your subscription at any time through your account settings or the Stripe billing portal.
4.3 Payment Failures
If a payment fails, we will notify you via email and retry the charge according to Stripe's retry schedule. After multiple failed attempts, your subscription may be cancelled. You can update your payment method at any time to resolve payment issues.
4.4 Lifetime Deals
Lifetime deals, when offered, provide perpetual access to the Service at the purchased tier level. All features included in your lifetime deal tier will remain available to you, including any future updates, improvements, or new features added to that tier. Lifetime deals are redeemed via unique codes and are non-transferable once activated.
4.5 Refunds
Subscription payments are generally non-refundable. However, we may offer refunds on a case-by-case basis at our sole discretion. Contact us at hello@makrly.com if you believe you are entitled to a refund.
EU/EEA consumers: If you are a consumer in the EU/EEA, you may have a statutory 14-day withdrawal right under the Consumer Rights Directive. By subscribing and using the Service immediately, you acknowledge that you request the Service to begin during the withdrawal period and understand that you may lose the right to withdraw once the Service has been fully provided.
5. Acceptable Use
You agree not to use the Service to:
- Violate any applicable laws or regulations
- Infringe on the rights of others
- Generate spam, misleading content, or malicious content
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt the Service
- Reverse engineer or attempt to extract source code
- Use automated means to access the Service beyond normal use or exceed API rate limits
- Resell or redistribute the Service without authorization
- Submit false, offensive, or harmful content through idea boards or contact forms
- Abuse public-facing features (widgets, idea boards) through automated submissions or voting manipulation
We reserve the right to rate limit, suspend, or restrict access to any account that violates these terms or engages in abusive behavior.
6. Content and Intellectual Property
6.1 Your Content
You retain ownership of your GitHub commits, code, and any content you create using the Service. By using the Service, you grant us a limited, non-exclusive license to process your content for the purpose of providing the Service (including AI generation, changelog publishing, and widget display).
6.2 Generated Content
Social media posts, changelog descriptions, and other content generated by the Service are derived from your content. You own the generated posts and are responsible for reviewing them before publishing. We do not guarantee the accuracy, appropriateness, or suitability of generated content.
6.3 User-Submitted Content
Content submitted through public-facing features (ideas, comments, feedback, contact forms) is owned by the submitter. By submitting content through our widgets, visitors grant both you (the account owner) and us a license to display, store, and process the submission in connection with the Service.
6.4 Our Intellectual Property
The Service, including its design, features, widget code, and underlying technology, is owned by Makrly and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without our permission.
7. Embeddable Widgets
We provide embeddable widgets (changelog, help center, and idea board) that you may include on your websites. By using the widgets, you agree to:
- Use the widgets only on websites you own or have permission to modify
- Not modify, reverse engineer, or tamper with the widget code
- Inform visitors of your website that the widgets collect anonymized analytics data (as described in our Privacy Policy)
- If you enable public idea submissions, ensure your visitors are aware that their submissions (including name and optional email) will be stored and visible to you
- Accept that we may update the widget's functionality or appearance at any time
We reserve the right to disable access to the widgets if they are being misused or if your account is terminated.
Your responsibility as a data controller: When you embed our widgets on your website, you act as the data controller for data collected from your visitors. You are responsible for providing appropriate privacy notices to your website visitors and ensuring you have a lawful basis for the data collection. We act as your data processor for this data, as described in our Privacy Policy.
8. Developer API
We provide a Developer API that allows programmatic access to your data. By using the API, you agree to:
- Keep your API keys secure and not share them publicly
- Respect rate limits and usage quotas
- Use the API only for purposes consistent with these Terms
- Not use the API to build a competing service
API keys can be scoped to specific permissions and may have expiry dates. We reserve the right to revoke API keys or restrict API access at any time for any reason.
9. Third-Party Services
The Service integrates with third-party platforms including:
- GitHub — For authentication, repository access, and webhook events
- Stripe — For payment processing, subscription management, and invoicing
- AI Providers — OpenAI, OpenRouter, and Straico for content generation
- CDN Providers — For widget delivery and asset hosting
Your use of these integrations is subject to the terms and policies of those third parties. We are not responsible for third-party services or their actions. If you provide your own API keys for third-party services, you are responsible for the associated costs and compliance with their terms.
10. AI-Generated Content Disclaimer
The Service uses artificial intelligence to generate social media posts, changelog descriptions, and other content. AI-generated content may occasionally be inaccurate, inappropriate, or not reflect your intended message.
- You are solely responsible for reviewing and approving all AI-generated content before publishing
- We are not liable for any consequences arising from content you publish
- AI-generated content should be treated as a draft that requires human review
- We make no guarantees about the factual accuracy of AI-generated content
- We do not use AI for automated decision-making, profiling, or scoring of individuals
EU AI Act transparency: Our AI features are used solely for content generation assistance and are not classified as high-risk AI systems under the EU AI Act. We use third-party AI providers as described in our Privacy Policy. Your commit data is processed by these providers to generate content but is not used for AI model training.
11. Data Protection and Privacy
Your privacy is important to us. Our collection, use, and handling of personal data is described in our Privacy Policy and our Cookie Policy, which are incorporated into these Terms by reference.
Your data rights: You have the right to export all your data in machine-readable JSON format and to delete your account at any time from your Settings page. Account deletion triggers cascading deletion of all associated data from our systems. Data portability: You can export your data at any time, including your profile, repositories, commits, generated posts, subscription information, and settings. Exported data is provided in a structured, commonly used, machine-readable JSON format.
Data Processing Agreement: If you use our embeddable widgets and need a formal Data Processing Agreement (DPA) as required by GDPR Article 28, please contact us at hello@makrly.com.
12. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAKRLY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU HAVE PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
14. Indemnification
You agree to indemnify and hold harmless Makrly and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising out of or related to your use of the Service, violation of these Terms, or your violation of any third-party rights.
15. Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice, for conduct that we determine in our sole discretion violates these Terms, is harmful to other users or us, or is otherwise objectionable.
Upon termination:
- Your right to use the Service will cease immediately
- Active subscriptions will be cancelled (no proration for the current billing period)
- Embedded widgets will stop functioning
- Your data will be retained for 30 days to allow for account recovery, then deleted
You may also delete your account at any time through the Service. Voluntary deletion triggers immediate cascading deletion of all associated data. When you cancel your subscription, you may optionally provide feedback about your reason for cancelling — this feedback is voluntary and is used solely for product improvement.
Certain data may be retained beyond account deletion as required by law, including payment records (7 years for tax compliance) and audit logs (minimum 2 years). See our Privacy Policy for complete retention details.
16. Dispute Resolution
If you have a dispute with us, we encourage you to first contact us at hello@makrly.com to attempt to resolve the dispute informally. We will make good-faith efforts to resolve any dispute within 30 days.
Nothing in these Terms limits your rights as a consumer under applicable law, including your right to bring a claim before a competent court in your jurisdiction.
17. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the new Terms on this page and updating the "Last updated" date. For material changes, we may also notify you via email. Your continued use of the Service after changes constitutes acceptance of the new Terms. If you do not agree to the updated Terms, you must stop using the Service and may delete your account.
18. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Makrly operates, without regard to its conflict of law provisions. For users in the EU/EEA, nothing in these Terms affects your rights under mandatory consumer protection laws in your country of residence.
19. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.
